Annual General Meeting of Santander Bank Polska S.A. - resolution re. dividend payment.

Santander Bank Polska S.A. (the "Bank") hereby advises that the Annual General Meeting of the Bank, held on 15 April 2025, adopted a resolution on dividend payment.

It was decided to allocate to dividend for shareholders the amount of PLN 3,897,631,915.40 from the Bank's net profit for 2024 and PLN 840,886,574.78 out of the Dividend Reserve created by force of resolution no. 6 of the Annual General Meeting of 22 March 2021 on profit distribution and creation of capital reserve (the "Dividend"). Total amount to be allocated for Dividend is PLN 4,738,518,490.18.

102,189,314 (say: one hundred two million, one hundred eighty nine thousand and three hundred fourteen) series A, B, C, D, E, F, G, H, I, J, K, L, M, N and O shares give entitlement to the Dividend.

Dividend per one: A, B, C, D, E, F, G, H, I, J, K, L, M, N and O series share will be PLN 46,37.

The Dividend record day is 13 May 2025 and the Dividend will be paid out on 20 May 2025.

§ 19 (2) of the Ministry of Finance ordinance dated March 29, 2018 re. current and financial reporting by securities issuers and conditions for treatment as equivalent of information provided under law of non-member states.
