National Depository of Securities statement on conditional registration of the Santander Bank Polska S.A. shares

Santander Bank Polska S.A. ("the Bank") hereby advises that on 20th November 2018 it received Statement no. 693/2018 of the National Depository of Securities ("KDPW"), whereby the latter decides to accept for deposit 2 754 824 (two million seven hundred and fifty four thousand and eight hundred and twenty four) ordinary bearer shares of the Bank, series N, with a nominal value of PLN 10 (ten) each, with the code number PLBZ00000044, provided that the company operating the regulated market decides to introduce these shares to trading on the same regulated market where the Banks's shares coded PLBZ00000044 are traded.

The above-mentioned shares will be registered within three days from the date when KDPW receives a written confirmation that the entity which manages the regulated market has made the decision to float these shares on the same regulated market where the Bank's shares coded PLBZ00000044 are traded, but not earlier than on the date indicted in that decision as the day of floating these shares on this market.

Information on the registration of the above-mentioned shares under code PLBZ00000044 and on the number of such shares will be provided in the form of a current report after receipt of a respective notice from KDPW.
