Suitability assessment of the candidate to the Supervisory Board.
The Management Board of Santander Bank Polska S.A. ("the Bank"), in relation to the current reports no. 26/2023 of 22 June 2023 and no. 28/2023 of 10 July 2023 informs that on 12 July 2023 the Nominations Committee of the Supervisory Board carried out the individual suitability assessment of the candidate for the Supervisory Board and collective assessment of the Supervisory Board. The outcomes of the above mentioned assessments, together with Recommendation of the Nominations Committee of the Bank's Supervisory Board on proposed candidate ("the Recommendation"), which constitute the appendix to the Extraordinary General Meeting convened for 20 July 2023 draft resolution re suitability assessment of the Supervisory Board (item no. 5 of the Agenda), is appended hereto.
The Recommendation will be posted on the Bank's website: www.santander.pl/wza, together with updated files that include: Drafts resolutions and Template of the power of attorney for voting proxies.
Legal basis:
§19 clause 1 item 2 of the Finance Minister's Ordinance of 29 March 2018 on current and periodic reports published by the issuers of securities and the rules of equal treatment of the information required by the laws of non-member states.
