Candidate for the Supervisory Board and draft of EGM resolution submitted by the shareholder

The Management Board of Santander Bank Polska S.A. _"the Bank"_ informs that on 10 July 2023 it received from its shareholder - Banco Santander S.A. with its registered office in
Santander _Spain_:

• candidature of Mr Adam Celiński for a member of the Supervisory Board together with his resume and draft resolution of the Extraordinary
• General Meeting convened for 20 July 2023 related to item 6, of the agenda i.e. the draft resolution re appointing the Supervisory Board Member.

Mr Adam Celiński's resume and the draft resolution submitted by a shareholder are attached to this report.

Recommendation of the Nominations Committee of Bank's Supervisory Board on proposed candidate and the outcome of suitability assessment will be published via current report and posted on the Bank's website: www.santander.pl/wza, together with updated files that include: Drafts resolutions and Template of the power of attorney for voting proxies.
