Establishing by Bank Zachodni WBK S.A. the Euro Medium Term Notes programme.
The Management Board of Bank Zachodni WBK S.A. ("Bank") hereby announces that on 30th of May 2018 it adopted a resolution approving establishing by the Bank the Euro Medium Term Notes programme ("Notes") with an aggregate principal amount of Notes outstanding at any time not exceeding EUR 5 bln (or its equivalent in other currencies).
The Notes will be offered and sold outside the United States to, or for the account or benefit of, non-U.S. persons in reliance on Regulation S of the U.S. Securities Act of 1933, as amended.
The Notes will be registered in the international central securities depository operated by Euroclear Bank SA/NV or Clearstream Banking société anonyme, Luxembourg and the Bank may apply for an individual series of the Notes to be admitted to trading on the regulated market of the Dublin Stock Exchange, the Warsaw Stock Exchange (Giełda Papierów Wartościowych w Warszawie S.A.) (WSE) or any other entity operating a regulated market.
