Registration of amendments to the Bank's Statutes as adopted by the Annual General Meeting in National Court Register

Management Board of Santander Bank Polska S.A. ("the Bank") hereby states that on 12th August 2019 it was informed that on 12th August 2019, the District Court for capital city of Warsaw in Warsaw, XII Commercial Division of the National Court Register, entered into the National Court Register the changes to the Bank's Statute adopted by resolution no. 30 of the Annual General Meeting of the Bank held on 16 May 2019 (ref. WA XII.Ns-Rej. KRS 54639/19/525).

Amended and new provisions of Bank's Statute:

1) § 7 clause 1 items 18-20 (in the previous wording of the Statute, the provisions do not exist):

- new wording:
"18) intermediation in providing acquiring services for payment transactions,
19) providing the service of initiating a payment transaction,
20) providing the service to access account information.",

2) § 7 clause 2 item 7 letter a:
- previous wording:
"a) intermediation in brokerage business, maintenance of securities accounts,",

- new wording:
"a) performing as an investment company agent,",

3) § 37 clause 3 item 3:
- previous wording:
"3) the designated member of the Management Board, not in charge of supervising an area generating a significant risk for the Bank's activity and other than the one referred to in point 2, is in charge of the compliance unit and supervises the compliance risk,",

- new wording:
"3) President of the Management Board or the designated member of the Management Board, not in charge of supervising an area generating a significant risk for the Bank's activity and other than the one referred to in point 2, is in charge of the compliance unit and supervises the compliance risk.",

4) § 37a item 9 (in the previous wording of the Statute, the provision does not exist):

new wording:
"9) as regards issues specified in the sets of regulations referred to in points 4-6 above - the Bank Director in the form of an ordinance."
