Information for the Annual General Meeting on the guidance of the KNF addressed to banks operating as joint stock companies on compliance with requirements for assessing the adequacy of internal regulations concerning their supervisory board's operations and its effectiveness.

With reference to current report no. 15/2023 of 22 March 2023, the Management Board of Santander Bank Polska S.A. (Bank) hereby informs you that on 4 April 2022 it received the KNF's guidance addressed to banks operating as joint stock companies on compliance with requirements for assessing the adequacy of internal regulations concerning their supervisory board's operations and its effectiveness arising from the KNF's Recommendation Z on internal governance in banks (KNF's guidance). In view of the KNF's expectation that banks should communicate the KNF's guidance to their general meetings, the Bank's Management Board informs that the KNF's guidance has been posted on the Bank's website at www.santander.pl/wza (document titled: The KNF's guidance on assessing the adequacy of internal regulations and effectiveness of the Supervisory Board's operations), in relation to item 11 of the agenda of the Annual General Meeting convened for 19 April 2023 regarding, among other things, the assessment of the effectiveness of the Supervisory Board's operations and adequacy of internal regulations concerning its operations.
