Information on potential payment of additional dividend in 2024 from retained profits.

In reference to current report no. 7/2024 of 21 February 2024, the Management Board of Santander Bank Polska S.A. (Bank) hereby informs you that on 19 March 2024, it was advised by the Polish Financial Supervision Authority (KNF) that the KNF did not have any objections to the potential payout of the additional amount of PLN 1,056,637,506.76 as a dividend to shareholders in 2024; this amount represents 50% of the profit earned between 1 January 2019 and 31 December 2019.

This amount was transferred to the dividend reserve (raised under resolution no. 6 of the Annual General Meeting of 22 March 2021 on profit distribution and creation of capital reserve) pursuant to resolution no. 6 of the Annual General Meeting of 27 April 2022 on profit distribution, dividend record date, dividend payment date and and decision on the capital reserve created under resolution no. 6 of the Annual General Meeting of 22 March 2021.

Thus, in line with the KNF's individual recommendation that the Bank communicated to the market in current report no. 7/2024 of 21 February 2024 and the said information of 18 March 2024 from the KNF, the total amount that the Bank can distribute to shareholders in 2024 is PLN 4,560,709,083.82.

The Management Board's recommendation and the Supervisory Board's opinion in this respect will be communicated to the market in a separate current report after these governing bodies take relevant decisions.
