Appointing the Management Board President of Bank Zachodni WBK S.A.
Bank Zachodni WBK S.A. (“the Bank”) hereby advises that on 16th May 2016 the Bank’s Supervisory Board passed the resolution on appointing Mr. Michał Gajewski the Bank’s Management Board President. The appointment will be effective as of the day the Polish Financial Supervision Authority (Komisja Nadzoru Finansowego) gives its consent (indicated in the next paragraph) and not earlier than his current employment conditions have been concluded.
Bank’s Supervisory Board decided to apply promptly to the Polish Financial Supervision Authority (Komisja Nadzoru Finansowego) with the request for consent to appoint Mr. Michał Gajewski to the position of the Bank’s Management Board President. In this respect, the delegation of Supervisory Board Chairman – Mr. Gerry Byrne to temporarily perform the duties of the Management Board President will expire at the day of taking over the Bank’s Management Board President position by Mr. Michał Gajewski (Bank informed on the said delegation in current reports no. 6/2016 dated 11th February 2016 and no. 27/2015 dated 9th November 2015).
Bank will publish the separate report with the information regarding the date when appointment of Mr. Michał Gajewski becomes effective.
Lawyer by education, Mr. Michał Gajewski is a graduate of the Law Department at the Adam Mickiewicz University in Poznań. He also studied at the Northwestern University in Chicago and London Business School.
Since 1992 has been professionally active in the banking sector, in 1992-2008 Mr. Michał Gajewski was professionally related to WBK S.A. Capital Group and then BZ WBK S.A., where he performed a number of functions, starting from working at a branch, through medium and higher management functions, up to the position of Member of the Management Board of BZ WBK S.A., responsible for the Retail Banking area.
In the period between 2008-2011 he had performed function of Vice President of the Management Board at Bank BGŻ S.A., where he was responsible for the Retail Business and SME Banking.
In 2012 started his employment at Bank Millennium S.A., initially in the period between 2012-2015, Michal Gajewski became Macro Regional Director within Retail Banking Department, subsequently in 2015 appointed Board Member responsible for Retail Banking.
Mr. Michał Gajewski is not involved in any activity competitive to the Bank. He is not included in the National Register of Insolvent Debtors (as per the Act on the National Court Register). He also meets the requirements stipulated in art. 22aa of the Banking Law.
