Change the intention of amending the Bank’s Statutes and change of the Annual General Meeting draft resolutions called on 20th April 2016

I. In relation to the current report no. 9/2016 dated 26th February 2016, the Management Board of Bank Zachodni WBK S.A. (the Bank) hereby informs that it withdraws form its intention to amend the Bank’s Statutes by adding item 18 in the § 7 clause 2. In this respect Management Board of the Bank informs that it intends to amend the Statutes by adding § 54 in the following reading:

Ҥ 54
Bank performs activities related to submitting electronically, through the Bank’s IT systems, applications for determining a person’s right to childcare benefits and ones related to providing the social insurance company (Zakład Ubezpieczeń Społecznych, ZUS), at the request of the Bank’s customer, with authorization information required for opening an account in the system made available by the social insurance company.”.

II. In relation to the current reports no. 4/2016 dated 26th January 2016 and no. 12/2016 dated 22 March 2016, the Management Board of the Bank hereby informs that the § 2 of the draft resolution re. amendments to the Bank’s Statutes has changed.

The previous wording of § 2 of the above mentioned Annual General Meeting draft resolution:

Ҥ 2
The amendment to the Statutes in the scope defined in § 1 requires the consent of the Financial Supervision Authority.”

The Proposed wording of § 2:

Ҥ 2
The amendments to the Statutes in the scope defined in § 1 points 7-10 and points 12-13 require the consent of the Financial Supervision Authority.”

As a result of the above mentioned proposal, the Bank hereby publishes the Annual General Meeting called on 20th April 2016 draft resolutions re: amendments to the Bank’s Statutes, i.e. drafts resolution covered by item 11 of the agenda.

Moreover, the Bank encloses all draft resolutions of Annual General Meeting convened on 20th April 2016 resolution that reflect the changes resulting from this report.
