The issuance of an expert auditor opinion on the Demerger Plan of Deutsche Bank Polska S.A. Supplement of the first notification on the intended demerger of Deutsche Bank Polska S.A.
Further to the current report no. 29/2017 dated 14 December 2017 regarding conclusion of the transaction agreement concerning the acquisition of demerged part of Deutsche Bank Polska S.A. ("DBPL") and the current report No. 6/2018 dated 23 February 2018 informing about agreement concerning the Demerger Plan of DBPL, the Management Board of Bank Zachodni WBK Spółka Akcyjna, (the "Bank"), would like to state that today, i.e.11 April 2018, the Bank was served with an auditor's opinion regarding the Demerger Plan of DBPL dated 23 February 2018, prepared in terms of its accuracy and reliability, as referred to in Article 537 §1 of the Commercial Companies Code ("CCC", "Opinion").
Further to the above-referenced event, the Bank hereby discloses to the public (attached hereto) such Opinion. Moreover the Opinion was published by being posted on the Bank's website: www.bzwbk.pl in the bookmark "Investor Relations", at https://www.bzwbk.pl/investor-relations/performance-presentation/demerger-plan-of-deutsche-bank-polska-s-a/demerger-plan-of-deutsche-bank-polska-s-a.html.
The Demerger Plan of DBPL was announced and published pursuant to Article 535 § 3 of the CCC by being posted on the Bank's website: www.bzwbk.pl in the bookmark "Investor Relations", at https://www.bzwbk.pl/investor-relations/performance-presentation/demerger-plan-of-deutsche-bank-polska-s-a/demerger-plan-of-deutsche-bank-polska-s-a.html.
Pursuant to Article 540 §3 (1) of the CCC, the Bank hereby announces that until the completion of the general meetings of shareholders of DBPL and the Bank, the agenda of which will include the adoption of a resolution on the Demerger of DBPL, the shareholders may review the documents referred to in Article 540 § 1 of the CCC posted on the Bank's website: www.bzwbk.pl in the bookmark "Investor Relations", at: https://www.bzwbk.pl/investor-relations/performance-presentation/demerger-plan-of-deutsche-bank-polska-s-a/demerger-plan-of-deutsche-bank-polska-s-a.html.
This report shall be treated as a supplement to the first notification to the shareholders about the intention to divide the DBPL within the meaning of art. 539 § 1 and § 2 of CCC, in relation to art. 402(2) § 1 of CCC, published as a current report no. 6/2018 on 23rd February 2018.
